Free3D.Tech Terms of Use

1. Acceptance of Terms

Free3D.Tech (the "Service") is operated by IP Aleksandr Mikhailov, doing business as free3d.tech ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to update or modify these Terms at any time. Any changes will be posted on this page with a revised effective date. Your continued use of the Service following the posting of changes constitutes your acceptance of such changes.

2. Eligibility

You must be at least eighteen (18) years of age to register for an account or use the Service. By registering, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

We reserve the right to suspend or terminate your account at our sole discretion if we believe you have violated these Terms or engaged in fraudulent or abusive behavior.

4. Description of the Service

Free3D.Tech is an online platform that provides:

  • Library Access: A catalog of AI-generated 3D models available for download.
  • 3D Model Generation: An AI-powered tool that allows users to generate custom 3D models based on user-provided prompts or parameters.
  • Format Conversion: The ability to convert 3D models from their default format (GLB) into other formats (e.g., FBX, OBJ) for an additional fee payable in Coins.
  • Retopology and Processing Services: Additional processing services for 3D models, such as mesh optimization and retopology, available at applicable rates.

The specific features, pricing, and availability of services may change from time to time at our discretion.

5. Virtual Currency ("Coins")

5.1 General

The Service uses an internal virtual currency referred to as "Coins." Coins are used to access and pay for various features within the Service, including but not limited to downloading 3D models, generating new models, converting file formats, and utilizing processing services.

5.2 Acquisition of Coins

Coins may be acquired in the following ways:

  • Upon registration, new users receive an introductory allocation of Coins as specified on the Service at the time of registration.
  • Coins may be purchased directly through the Service using supported payment methods.
  • Active Subscription plans include a periodic allocation of Coins as described in Section 6.

5.3 Nature of Coins

Coins have no monetary value outside the Service. Coins are non-transferable between accounts, cannot be exchanged for cash or any form of currency, and cannot be sold or traded. We reserve the right to adjust Coin pricing, allocation, and spending rates at any time.

5.4 No Refunds on Coins

Purchases of Coins are final and non-refundable, except as required by applicable law. Unused Coins remain in your account until used or until your account is terminated.

6. Subscriptions

6.1 Subscription Plans

We may offer monthly or other periodic subscription plans. Each plan provides a specified allocation of Coins credited to your account at the beginning of each billing cycle, along with any additional benefits described on the Service at the time of purchase.

6.2 Billing and Renewal

Subscriptions are billed in advance on a recurring basis at the interval specified in your chosen plan. Subscriptions automatically renew unless you cancel before the start of the next billing cycle.

6.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription benefits (including any unused Coins allocated under the subscription) will remain active until the end of the current billing period. Refunds for the unused portion of a subscription period may be issued on a pro-rata basis at the Company's discretion, subject to the policies displayed on the Service at the time. Coins purchased separately (outside of a subscription) are not eligible for refund.

7. Introductory Offers

New users may receive complimentary benefits upon registration, such as a limited number of free model generations or an initial Coin balance. The specifics of any introductory offer are determined by the Company and are subject to change without notice. Introductory offers are limited to one per user and may not be combined with other promotions.

8. Intellectual Property

8.1 Library Models

All 3D models available in the Service's catalog ("Library Models") are generated using artificial intelligence technologies. When you acquire a Library Model by spending Coins, you are granted a perpetual, non-exclusive, worldwide license to use, modify, adapt, and incorporate the Library Model for any lawful purpose, including personal projects, commercial products, and client work.

You acknowledge that Library Models are AI-generated and may not qualify for copyright protection under the laws of all jurisdictions. The Company makes no representation as to the copyrightability of any Library Model. The Company does not assert exclusive intellectual property claims over Library Models and will not pursue claims against users for their use of acquired Library Models.

8.2 User-Generated Models

When you use the Service's AI generation tool to create a custom 3D model (a "User-Generated Model"), please note the following: both you and the Company retain full rights to use the User-Generated Model.

Specifically:

(a) Your Rights. You receive a perpetual, non-exclusive, worldwide license to use, modify, adapt, distribute, and commercially exploit the User-Generated Model for any lawful purpose, on the same terms as Library Models described in Section 8.1.

(b) Company's Rights. By generating a model through the Service, you grant the Company a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to use, reproduce, modify, display, distribute, sublicense, and commercially exploit the User-Generated Model in any manner, including but not limited to adding the model to the Service's catalog, distributing it through third-party platforms, and incorporating it into derivative works.

(c) No Exclusivity. Neither you nor the Company holds exclusive rights to any User-Generated Model. Both parties may independently use and exploit User-Generated Models without accounting to the other.

By using the generation feature, you acknowledge and agree to this shared-rights arrangement. If you do not agree to these terms, you should not use the generation feature.

8.3 Company's Proprietary Rights

The Service itself, including but not limited to its design, code, trademarks, logos, and all non-user-generated content, is the exclusive property of the Company and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited licenses expressly stated herein.

8.4 User Content and Prompts

Any text, images, or other inputs you submit to the Service ("User Inputs") remain your property. However, by submitting User Inputs, you grant us a non-exclusive, royalty-free license to process and use such inputs solely for the purpose of providing the Service, improving our technology, and generating models.

9. Prohibited Uses

You agree not to use the Service to:

  • Generate, distribute, or store content that is unlawful, defamatory, obscene, pornographic, sexually explicit, or exploitative of minors in any way.
  • Generate content that depicts or promotes violence, terrorism, or the manufacture of weapons or dangerous substances.
  • Generate content that constitutes hate speech, harassment, or discrimination based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, or any other protected characteristic.
  • Infringe upon or violate the intellectual property rights, privacy rights, or any other rights of third parties.
  • Engage in fraud, impersonation, or any deceptive practice.
  • Attempt to reverse-engineer, decompile, or otherwise extract the source code or underlying algorithms of the Service.
  • Circumvent, disable, or otherwise interfere with any security-related features of the Service, including features that prevent or restrict use or copying.
  • Use automated tools, bots, scrapers, or similar technologies to access the Service without our prior written consent.
  • Resell, redistribute, or sublicense access to the Service or Coins to third parties.

Violation of these prohibitions may result in immediate termination of your account and forfeiture of any remaining Coins, without refund.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by law, the Company disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Without limiting the foregoing, the Company does not warrant that:

  • The Service will be uninterrupted, error-free, or secure.
  • Any 3D model (whether from the catalog or generated) will be fit for any particular purpose, free from defects, or suitable for commercial use.
  • The quality, accuracy, or completeness of any model will meet your expectations.

You acknowledge that AI-generated models may contain artifacts, imperfections, or inaccuracies and that you use them at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

The Company's total aggregate liability to you for any and all claims arising out of or relating to these Terms or the Service shall not exceed the total amount you have paid to the Company in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your access to or use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property rights.
  • Any content you generate, upload, or distribute through the Service.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

14. Third-Party Services

The Service may integrate with or rely on third-party APIs, payment processors, and other external services. The Company is not responsible for the availability, accuracy, or practices of any third-party service. Your use of such services is subject to their respective terms and policies.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use the Service ceases immediately.
  • Any remaining Coins in your account are forfeited and non-refundable, except as required by applicable law.
  • Licenses granted to you for previously acquired Library Models and User-Generated Models shall survive termination.
  • The Company's license rights under Section 8.2 shall survive termination.

You may delete your account at any time through the Service. Sections 8, 10, 11, 12, and 16 shall survive any termination of these Terms.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Armenia, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Yerevan, Republic of Armenia.

Before initiating any formal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least thirty (30) days following written notice of the dispute.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and the Company with respect to the Service and supersede all prior or contemporaneous agreements, communications, and proposals.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17.3 Waiver

The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of the Company. The Company may assign its rights and obligations under these Terms without restriction.

17.5 Force Majeure

The Company shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, network or infrastructure failures, or third-party service disruptions.
